Instructure is seeking a talented commercial contracts attorney to join its fast-paced and rapidly growing business. This attorney will gain a wide breadth of experience in a collaborative and supportive environment, while becoming an expert in our business. This attorney will be responsible for helping to manage the legal aspects of Instructure’s global commercial presence, including the drafting, review and negotiation of SaaS contracts, purchasing agreements and other commercial contracts.
What you will be doing
- Draft, review, and negotiate SaaS agreements with customers and work closely with our sales and customer success teams to close both new and renewal revenue deals
- Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements, and other agreements that may come up in the day to day operations of a vertical SaaS technology company
- Innovate and simplify internal contracting processes and standards
- Create, review and improve templates, “playbooks,” and policies
- Become a trusted partner to our sales, procurement and business teams and build strong and professional relationships with our employees and customers
- Assist with other legal support tasks that arise
What you will need to know/have
- A juris doctor (J.D.) degree from an accredited law school and membership in good standing in at least one state bar or international equivalent
- A minimum of 2 years of experience with commercial contracts or general corporate transactions at either a top-tier law firm or in-house. Specific experience drafting and negotiating SaaS agreements in-house at a technology company is preferred.
- Experience drafting and negotiating SaaS agreements across Europe, the Middle East, and Asia is a plus.
- Ability to thrive in a fast-paced, high stakes environment, effectively and efficiently managing high volumes of contracts. Be a problem-solver, with a pro-business approach.
- Passion for partnering with sales and closing revenue deals
- Ability to translate between business and technical risk and communicate clearly to business and technical constituencies
- High attention to detail
- Multi-tasking, organizational, and time/decision management skills

$70,000 - $86,000 a year
Equity grants will be given on top of base salary.
